End-User License Agreement

This End-User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("User" or "you") and Tono Build LLC ("Company," "we," or "Runjo") for the use of the Runjo mobile application, web application, and related services (collectively, the "Service").

By downloading, installing, or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business operations, subject to the terms of this Agreement. This license does not include the right to:

• Modify, reverse engineer, decompile, or disassemble the Service
• Rent, lease, lend, sell, sublicense, or distribute the Service to third parties
• Copy or use the Service for any purpose other than as permitted by this Agreement
• Remove or alter any proprietary notices, labels, or marks on the Service

2. Account & Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to provide accurate, current, and complete information during registration and to update it as necessary.

3. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers/networks connected to it
• Use the Service in any manner that could damage, disable, or impair the Service
• Use automated means to access the Service except through our provided APIs
• Harass, abuse, or harm other users or their customers
• Use the AI features to generate content that is illegal, harmful, or deceptive

4. Your Data

You retain ownership of all data you submit to the Service ("User Data"). By using the Service, you grant us a limited license to use, process, and store your User Data solely to provide and improve the Service. We handle your data in accordance with our Privacy Policy.

You are solely responsible for the accuracy, quality, and legality of your User Data and the means by which you acquired it.

5. Third-Party Integrations

The Service may integrate with third-party services (e.g., QuickBooks Online, Twilio, Deepgram). Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

6. QuickBooks Online Integration

The Service offers optional integration with QuickBooks Online, provided by Intuit Inc. By connecting your QuickBooks Online account, you acknowledge and agree that:

• Runjo is an independent application and is not affiliated with, endorsed by, sponsored by, or certified by Intuit Inc. QuickBooks, QuickBooks Online, and the QuickBooks logo are trademarks of Intuit Inc., used here for identification purposes only.
• The QuickBooks Online integration requires an active QuickBooks Online subscription maintained separately with Intuit. Runjo is not responsible for any fees, changes, or service disruptions related to your QuickBooks Online account.
• You authorize Runjo to access and sync data between Runjo and your QuickBooks Online account as described in our Privacy Policy.
• You may revoke Runjo's access to your QuickBooks Online data at any time through your Intuit account settings or within the Runjo app.
• Runjo does not guarantee the accuracy of data synced to or from QuickBooks Online. You are responsible for reviewing synced data for accuracy.

7. AI-Powered Features

The Service includes AI-powered features such as an AI receptionist, automated scheduling, and intelligent responses. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying AI-generated content before relying on it for business decisions.

We do not guarantee that AI features will be error-free, uninterrupted, or suitable for any particular purpose.

8. Fees & Payment

Certain features of the Service may require payment of fees. Current pricing is available within the Service or on our website. We reserve the right to change pricing with 30 days' notice. Fees are non-refundable except as required by law or as expressly stated in a separate agreement.

9. Intellectual Property

The Service, including its source code, design, features, content, and documentation, is owned by Tono Build LLC and protected by intellectual property laws. This Agreement does not transfer any ownership rights to you. The Runjo name, logo, and related marks are trademarks of Tono Build LLC.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BYOP ELECTRIC LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Tono Build LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of this Agreement, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of this Agreement or for any other reason with reasonable notice. You may terminate your account at any time by contacting us. Upon termination, your license to use the Service ceases immediately. Sections 9–12 survive termination.

14. Modifications

We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on our website or through the Service. Your continued use after changes constitutes acceptance of the modified terms.

15. Governing Law

This Agreement is governed by the laws of the State of Utah, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Salt Lake County, Utah.
